Afternoon All,
I have a company that I work closely with that is interested in purchasing (purchasing the company that owns) a Part 135 AOC.
They do not need any aeroplanes or staff, just the bare-bones AOC and ops manual suite.
For aeroplanes it would be good to have a couple of basic types approved such as C210, BE58 etc if it has B200 etc even better.

I understand it's not the most simple process in the world, but it can be done.
We have suitably qualified people to fill the positions of HOFO/HOTAC/CEO/SM etc etc.

What’s not simple about buying another company?
Ok you might be paying a premium, however if proper due diligence is done, no issue.
However trying to find a cheap skeleton maybe not so easy!

I dont think there are many 135s sitting there in a box with up to date manuals, but happy to be proven wrong, as to keep the 135 you need those key personnel - whats the point of having a 135 if not using it, you're effectively paying money for no reason.

It's also hard to find existing 135s with the aeroplanes we'd like to operate.
Purchasing one would give the flexibility to the business.
I believe an operator in the NT was just sold to another operator at the same airport.
Given the current state of the regs and the amount of change that has gone on in the past 3 years, it’s unlikely that anything you inherit or acquire will be ‘off the shelf.’ The amount of effort required to bring an existing operation to standard may exceed the money, time and effort of starting your own from scratch - particularly if you have your own personnel ready to go in key roles.

I'd also suggest that the 'O' in AOC implies that the holder Operates aircraft, so finding a Part 135 'in a box' with no aircraft but still functioning would be tricky. Some outfit on the verge of being shut down for regulatory non-compliance or teetering on bankruptcy maybe, but they'd probably want to unload whatever aircraft they had as part of the deal.
At the very least CASA would look on this as "significant change to an AOC" which is a Very Big Deal.
Get yourself a knowledgeable consultant with a good grasp of aviation law. Not one of the many main-chancers out there...someone who has successfully done it before.

I am aware of an AOC for sale - recently fully re-written manuals to the new specs, everything required for charter and RPT (Scheduled and Unscheduled Air transport in the new lingo). Has singe engine piston/turbine but its easy enough to add twin. PM me if you are interested (its not my AOC so I cannot comment on price etc).
