While GVIC understands management’s motive to complete the Acquisition in an effort to increase free cash flow and ease the Company’s debt burden, alternative options exist. Such alternatives include a strategic divestment of assets, privatization of the Company, or a merger transaction with a like company. GVIC believes that Era Group, Inc., CHC Group Ltd., or others would entertain discussions on a potential business combination.
