As Nudlaug mentioned you want at least 256Mb and the sweet spot is 512mb of RAM. With an 800Mhz CPU, your system will not have any trouble handling WinXP.

P.S. It is personal preference when it comes to upgrading, both will do the job. (Although I prefer WinXP for dealing with DVD's etc.)
