The rights issue is pretty clearly spelled out in the tentative bilateral. For a UK AOC to operated between the UK and US it has to be owned and controlled by either UK, US, or EU persons. The controlling bit is a big sticking point with the US government.
The risk. If noone has done their homework and don't realise that then they're in bigger trouble than you think. Noone would touch it with a bargepole if that was the case.
I suspect that scenario, as I said, is low probability.
